Duties and Responsibilities of the Board of Directors：

The Board of Directors of the Company shall provide guidance on the Company’s strategies, supervise the management, and be accountable to the Company and its shareholders. The Company’s corporate governance practices and arrangements shall ensure that the Board exercises its powers in accordance with applicable laws, the Articles of Incorporation, and resolutions of the shareholders’ meeting.

Board of Directors：

There are nine Directors on the Board. They are from hi-tech sectors, with financial expertise, of legal backgrounds, management arenas or business backgrounds. The main task is to provide supervision to management teams to make certain all laws and regulations are followed, duties to the Taiwan Exchange Commission are carried out, and vote on any change in company by-laws.
